Thrive Holdings to Buy ADT for $15.3 Billion in AI-Powered Smart Security Bet
  • Thrive Holdings has agreed to buy ADT for $10 a share in an all-cash deal, valuing ADT’s equity at about $7.6 billion and the overall transaction at $15.3 billion. Announced October 29, 2026, the deal would take the home-security company private.

  • The agreement brings together ADT’s established security business and Thrive Holdings’ strategy of buying traditional companies and applying AI to their operations. Founded in 2025 as an offshoot of Thrive Capital Management, Thrive Holdings is led by Joshua Kushner and says it owns more than 75 businesses.

  • Thrive Holdings says it wants to use technology to reduce false alarms, make notifications more useful and detect equipment problems earlier, with ADT serving as the base for a new smart-home security business. OpenAI has an undisclosed stake in Thrive Holdings and is also its partner and investor.

  • ADT brings substantial scale to the plan: at the end of 2025, it had about 6.1 million subscribers, six monitoring centers and roughly 4,000 customer-care staff. The company already uses AI virtual agents and resolves more than 90% of technical issues remotely; Thrive’s engineers are expected to work with ADT staff on further improvements.

  • ADT operates its own home-security service and works with technology companies including Google and Apple to sell and install smart-home products. The deal comes as major companies and startups expand AI-enabled physical security, from connected cameras to mobile surveillance systems.

  • ADT CEO Jim DeVries said Thrive Holdings’ capital and technology expertise could help ADT accelerate innovation, improve customer experience and serve more homes and businesses. The broader bet is that AI can improve margins and services, rather than simply drive workforce cuts.

  • Thrive Holdings has already applied the approach in other businesses: its accounting platform, Current, has acquired 48 local firms and operates a tax-return agent built with OpenAI’s Codex. OpenAI disclosed its stake in Thrive Holdings in December 2025 as part of a partnership initially focused on accounting and IT services.

  • The acquisition has no financing condition. Thrive Holdings is contributing equity, while funds managed by Apollo Global Management affiliates have committed preferred-equity and debt financing; the amounts were not disclosed.

  • The transaction requires ADT stockholder approval, expiration of the U.S. antitrust waiting period and other customary conditions, and is expected to close in the first quarter of 2027. Either side may terminate if it has not closed by July 29, 2027.

  • ADT can seek competing offers during a go-shop period through November 28, 2026, with a possible 10-day extension for some parties. Under specified terms, ADT may terminate the agreement to accept a superior proposal.

  • Once the deal closes, ADT will become privately held and stop trading on the New York Stock Exchange; until then, it will continue operating independently.

  • The companies say ADT’s privacy policies will remain unchanged and customer data will not be newly shared without customer permission. For 12 months after closing, the buyer must maintain employee base pay, target cash bonuses and severance at least at current levels.
